Introduction

Welcome to Expert Listing!

This Subscription and Service Agreement (“Agreement”) is entered into by and between Expert Listing Limited, a private limited liability company duly incorporated under the laws of the Federal Republic of Nigeria (“Expert Listing,” “we,” “our,” or “us”), and you\ (the “Subscriber,” “you,” or “your”).

By subscribing to, registering for, or otherwise using any paid services, features, or access rights through the Expert Listing technology platform (the “Platform”), you expressly and irrevocably agree to be legally bound by this Agreement.

Scope of Services

This Agreement governs the Subscriber’s access to and use of enhanced and/or premium features of the Platform, which may include:

  • Verified property or service listings;
  • Prioritized visibility in search results and homepage carousels;
  • Direct access to verified leads, analytics, or request data;
  • Advanced messaging tools, chatbots, or integrations;
  • Reporting dashboards and portfolio management utilities.

The nature and configuration of services available to a Subscriber are based on the selected subscription tier as paid for and described on the Expert Listing pricing portal, and may vary from time to time.

Expert Listing shall be entitled to make product or feature modifications, additions, or removals in its sole discretion. Such changes shall not entitle Subscriber to any refunds or claims, provided that substantially equivalent functionality remains available during the subscription term.

Term and automatic renewal

Subscriptions commence on the date payment is confirmed and continue on a recurring basis (monthly, quarterly, or annually) as selected by the subscriber during registration, unless terminated by either Party in accordance with this Agreement.

Unless cancelled prior to renewal, the subscription will automatically renew at the then- current rate, and Subscriber authorizes Expert Listing to charge the payment method on file accordingly.

Where User is an Agent or Developer, they shall be informed with a 30 days’ prior written notice in the event of subscription price increase, with an option to cancel their subscription before the next renewal date. Any fee adjustment shall take effect only at the next renewal period and shall not apply mid-cycle.

Fees, payment and refund policy

All fees are due in full at the start of the applicable billing period and are strictly non- refundable, except where otherwise required by law or explicitly approved in writing by Expert Listing.

Expert Listing reserves the right to suspend or terminate service in the event of failed or delayed payment. Subscriber remains responsible for any outstanding balance.

Refunds, if granted, are limited to the following narrowly defined circumstances:

  • Double billing caused by platform error;
  • System-wide outage exceeding 72 consecutive hours (excluding maintenance);
  • Failure to deliver core subscription features due to verified technical fault.

Refunds shall be granted at Expert Listing’s sole and final discretion and shall be issued only to the original method of payment.

Listing conduct, content rights, and compliance

Subscriber is fully responsible for all content, listings, images, media, metadata, and information uploaded through its account.

Subscriber agrees not to:

  • Post false, misleading, deceptive, incomplete, or unlawful information;
  • Misrepresent ownership of properties or licenses to offer services;
  • Solicit or process payments outside the Platform, unless unprecedented or in situations of platform failure;
  • Use automated bots or circumvent visibility rules or subscriptions.

Expert Listing reserves the right, at its sole discretion, to review, moderate, remove, shadow- ban, or deprioritize any listing or content that:

  • Violates applicable laws, regulations, or this Agreement;
  • Undermines user experience or platform integrity;
  • Involves fraud, harassment, impersonation, or brand abuse.

Platform role and disclaimers

Expert Listing provides a neutral, technology-enabled environment for users to discover, connect, and engage. It does not:

  • Verify or guarantee the accuracy, legal compliance, or suitability of any listing;
  • Guarantee leads, bookings, conversions, or revenue;
  • Act as a broker, agent, fiduciary, or guarantor of any user interaction.

All decisions made based on leads, traffic data, or exposure analytics are made at Subscriber’s sole risk.

Expert Listing shall not be responsible for missed opportunities, tenant defaults, failed appointments, false leads, impersonators, misrepresentations or fraudulent inquiries.

Service level disclaimer

Expert Listing makes no express or implied warranties with respect to uptime, speed, accuracy, or responsiveness of the Platform.

While we strive for consistent performance, the Platform is provided on an “as-is” and “as- available” basis, and no minimum service levels are contractually guaranteed.

Platform maintenance, upgrades, or external events (e.g., DDoS attacks, DNS errors, or power outages) may result in temporary disruption without compensation.

Termination, cancellation, and effect

Subscriber may cancel their subscription through the account dashboard at any time. Cancellation will take effect at the end of the current billing period and no refund shall be due.

Expert Listing may suspend or terminate a Subscriber’s access to the Platform at any time, with or without notice, for:

  • Breach of this Agreement;
  • Non-payment;
  • Fraudulent or unlawful conduct;
  • Reputational harm, misconduct or misuse of platform resources.

Upon termination:

  • All active listings and access to analytics and privileged features shall be revoked;
  • Archived content may be retained in Expert Listing’s backup systems or audit logs;
  • Subscriber remains liable for all prior fees accrued.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERT LISTING SHALL NOT BE LIABLE TO SUBSCRIBER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA).

EXPERT LISTING’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY SUBSCRIBER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

NO ACTION, SUIT, OR PROCEEDING SHALL BE BROUGHT AGAINST EXPERT LISTING:

  • MORE THAN TWELVE TO TWENTY-FOUR (12-24) MONTHS AFTER THE EVENT GIVING RISE TO THE CAUSE OF ACTION, FOR NORMAL MONETARY CLAIMS

WHERE THE CLAIMS OR SUIT BROUGHT AGAINST EXPERT LISTING IS OF A SENSITIVE NATURE, SUCH AS: FRAUD, INTELLECTUAL PROPERTY VIOLATIONS, DATA BREACHES, ETC. THERE SHALL BE NO SHORTENED OR LIMITED PERIOD TO BRING SUCH CLAIMS.

Indemnification

Subscriber agrees to indemnify, defend, and hold harmless Expert Listing and its directors, officers, agents, and affiliates from and against any third-party claims, losses, damages, liabilities, costs, and legal fees arising out of or related to:

  • Subscriber’s use or misuse of the Platform;
  • Any content or listings submitted;
  • Any violation of this Agreement or applicable laws.

Force majeure

Expert Listing shall not be liable for any delay, failure, or interruption in performance due to causes beyond its reasonable control, including but not limited to natural disasters, civil unrest, strikes, governmental orders, cyberattacks, or third-party platform outages.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute, controversy, or claim shall be resolved by binding arbitration in Lagos under the Arbitration and Mediation Act 2023. The language of arbitration shall be English. The arbitrator’s award shall be final and enforceable in any competent jurisdiction.

Subscriber expressly waives any right to participate in any class action, group litigation, or collective proceeding against Expert Listing.

Entire Agreement and non-reliance

This Agreement constitutes the entire understanding between the Parties and supersedes all prior oral or written agreements.

Subscriber acknowledges and agrees that it is not relying on any representations, warranties, or promises not expressly set out in this Agreement.

If any provision is deemed illegal or unenforceable, that provision shall be severed to the extent of its invalidity and the remaining provisions shall remain in full force and effect.s
