This User Agreement (“Agreement”) governs your access to and use of the website, mobile applications, and services (collectively, the “Platform”) provided by Expert Listing Limited (“Expert Listing,” “we,” “us,” or “our”).

By accessing, registering with, or continuing to use the Platform, you unconditionally and irrevocably agree to be legally bound by the terms and conditions of this Agreement. If you do not agree with any part of these Terms, you must not access or use the Platform.

This Agreement is a legally binding contract between you (“User”) and Expert Listing Limited, a private limited liability company incorporated under the laws of the Federal Republic of Nigeria.

Expert Listing operates a digital technology platform that enables Users to access property listings and service providers (including landlords, short-let hosts, real estate developers, artisans, and verified professionals). The Platform facilitates:

• Discovery of property and service listings;
• User-to-user interaction through messaging and inquiry forms;
• Bookings, subscriptions, and in-platform communications.

Expert Listing is not a real estate agent, property owner, contractor, or service provider, neither is Expert Listing acting under Power of Attorney or any similar legal agreement, and disclaims any control over the quality, legality, accuracy, or fitness for purpose of any third-party listings or services, unless expressly communicated.

User’s access and use of the Platform constitutes full, final, and binding acceptance of this Agreement. User waives any right to contest the validity or legality of user’s acceptance to this agreement due to the manner/form/method is was given.

Expert Listing reserves the right to amend or revise the Terms of this agreement, its Acceptable Use Policy (AUP) or any related policies as may be necessary from time to time. Except in cases where updates are required to address abuse, fraud, security issues or legal obligations (in which case changes shall be effective immediately), Expert Listing shall provide Users with reasonable advance notice of material policy updates.

Whereby User does not consent to the proposed modifications, User may cancel modifications at any time before the effective date, and continue using the platform under their current terms of payment until expiration.

User’s continued use of the Platform after any modification, amendment or improvement shall constitute your acceptance of the modified Terms.

User must be at least 18 years of age and have full legal capacity under Nigerian law at the point of registration and to enjoy full, uninterrupted use the Platform.

User warrants that all information, data, context and details provided by you during registration and use of the Platform is accurate, valid, complete, and up to date. Any account suspected to be created with false or misleading information may be suspended or terminated without notice.

User warrants that no fraudulent, illegal or deceitful activity shall be carried out while making interactions and arrangements in the use of this platform. Any account suspected to be involved with any illegal or fraudulent activity may be suspended or terminated without notice.

Where User registers as an Agent, Developer, or any other identifiable property contractor, such User shall be required to complete KYC (Know Your Customer) verification in accordance with applicable laws and Expert Listing’s policies.

Expert Listing may, at its discretion, request identity, business, and authorization documents for all such users it applies to. This includes, but not limited to, valid CAC certificates, licenses, or any other document deemed necessary to verify eligibility. Failure to provide such documents may result in suspension or termination of access to the Platform.

Users must that all information provided during registration and use of this Platform is complete and up-to-date at all times, and shall promptly update their information when changes occur.

Expert Listing reserves the right to conduct ongoing or periodic re-verification of User profile, information and documentation. Users agree to cooperate with such requests to enjoy continued use of platform.

Expert Listing grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with this Agreement.

Users shall not:

• Reverse engineer, copy, or exploit any portion of the Platform;
• Attempt to interfere with or gain unauthorized access to our infrastructure;
• Use the Platform to engage in fraud, illegal activities, or harassment.

Fees applicable to listings, featured placements, or subscriptions shall be communicated to you clearly by email or SMS prior to checkout.

All payments must be processed through our designated payment providers. Off-platform payments or circumvention of our payment system is strictly prohibited and constitutes a material breach.

All fees are final and non-refundable, unless required by applicable law or explicitly stated in writing by Expert Listing.

All content uploaded by users remains the property of the respective uploader. However, by submitting content to the Platform, users grant Expert Listing an irrevocable, global, royalty-free, non-exclusive license to use, reproduce, display, distribute, and promote such content for operational and marketing purposes.

Expert Listing retains all intellectual property rights to its trademarks, trade names, logos, software, architecture, and systems seen within the platform/website.

Any feedback or suggestions provided to Expert Listing by any user, whether under subscription or not, may be used by Expert Listing without any obligation or compensation to you.

Users must warrant that everything they upload on the Platform is legally theirs to use, and whereby any information or listing uploaded is found to be done by an illegal or non-rightful owner, such information would be instantly removed and the User’s page rightfully deleted.

If a User directly or indirectly uses AI-generated content to enhance or falsify certain features, such user must disclose the said AI content. Such as like ocean views, falsified background images, etc.

Takedown Requests: If User has reasonable grounds to believe that any content on the Platform infringes their copyright or other intellectual property rights, said User may submit a written Takedown notice to the Company’s designated contact. The Takedown Notice must include:

• A clear description of the allegedly infringing content and its location on the Platform.
• Evidence of User’s ownership of, or authorization to act on behalf of the owner of the intellectual property right.
• User’s full name, address, telephone number and email address.
• A statement that User does, in good faith, believe that the use of the content in the manner complained of is not authorized by the intellectual property owner, its agent, or applicable law.
• A declaration that the information provided in the Takedown Notice is accurate.

Upon receipt of a valid takedown notice, with all requirements satisfied, the Company reserves the right to promptly remove, disable or restrict access to the allegedly infringing content, without prior notice to the User responsible for posting it.

Whereby, a User believes that his/her content was removed or disabled in error, User may submit a written counter-notice to the Company with proven facts, documentation and a statement that he/she believes that the content was removed or disabled as a result of misidentification or mistake.

Takedown Requests: If User has reasonable grounds to believe that any content on the Platform infringes their copyright or other intellectual property rights, said User may submit a written Takedown notice to the Company’s designated contact. The Takedown Notice must include:

• A clear description of the allegedly infringing content and its location on the Platform.
• Evidence of User’s ownership of, or authorization to act on behalf of the owner of the intellectual property right.
• User’s full name, address, telephone number and email address.
• A statement that User does, in good faith, believe that the use of the content in the manner complained of is not authorized by the intellectual property owner, its agent, or applicable law.

Availability and Maintenance: Expert Listing does not guarantee continuous, uninterrupted or error-free availability of the Platform. Scheduled maintenance, upgrades and emergency repairs may result in temporary service interruptions. Expert Listings shall, however, use reasonable efforts to notify Users of scheduled downtime but shall not be liable for any loss, damage or inconvenience caused by such interruptions.

Users may only post rates, reviews and feedback for transactions they have personally experienced and completed, provided that such content is truthful, accurate and complies with the Terms of Use.

We reserve the right, in our sole discretion, to moderate, restrict or remove any review that we believe violates the terms provided, or is false, misleading, defamatory or offensive to the Platform’s image

Users may, however, contest the removal of a review by submitting a written appeal with any supporting evidence to Expert Listings within seven (7) days of notification. Where this is done, Expert Listing will review said appeal in good faith and will communicate to the User within a reasonable period.

Expert Listing values your privacy and are committed to protecting your personal data, collected or used on this platform, Following which our collection, use, storage, access and sharing of all personal data within this platform are protected by our Privacy Policy, incorporated by reference into these Terms.

User’s acceptance of these terms and continued use of this platform serves as acknowledgement and acceptance of our Privacy Policy and also User’s consent to the processing of Personal data

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL EXPERT LISTING OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO EXPERT LISTING IN THE SIX (6) MONTHS PRIOR TO THE CLAIM AND SUBJECT TO APPLICABLE LAW.

NO ACTION, SUIT, OR PROCEEDING SHALL BE BROUGHT AGAINST EXPERT LISTING:

• MORE THAN TWELVE TO TWENTY-FOUR (12-24) MONTHS AFTER THE EVENT GIVING RISE TO THE CAUSE OF ACTION, FOR NORMAL MONETARY CLAIMS

WHERE THE CLAIMS OR SUIT BROUGHT AGAINST EXPERT LISTING IS OF A SENSITIVE NATURE, SUCH AS: FRAUD, INTELLECTUAL PROPERTY VIOLATIONS, DATA BREACHES, ETC. THERE SHALL BE NO SHORTENED OR LIMITED PERIOD TO BRING SUCH CLAIMS.

We reserve the right to suspend, disable, or terminate your account and access to the Platform at our sole discretion if we reasonably believe that User have violated these Terms or applicable laws.

You may delete your account at any time, provided that any and all obligations arising from previous activities on the platform shall survive account closure.

This Agreement shall be governed exclusively by the laws of the Federal Republic of Nigeria. User hereby irrevocably consents to submit to the exclusive jurisdiction of the courts of Lagos, Nigeria for the resolution of any disputes arising under this Agreement.

Any dispute not resolved through mutual negotiations shall be referred to and finally resolved by arbitration under the Arbitration and Mediation Act 2023, Laws of the Federation of Nigeria. The seat of arbitration shall be Lagos, and the language of the arbitration shall be English.

You agree that you will not initiate or participate in any class action, group litigation, or collective proceedings against Expert Listing, and you waive any right to such recourse.

If any provision of this Agreement is found to be illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed to the extent of its invalidity, and the remainder shall remain in full force.

Our failure to enforce any right shall not constitute a waiver of future enforcement.

The Terms of this agreement represent the entire agreement between the parties and supersede all prior understandings..

Expert Listing shall not be liable for any delay, failure or interruption in providing the Platform that results from events beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, labour disputes, civil unrest, acts of terrorism, war, internet or telecommunication outages or any other circumstances beyond the control of Expert Listing.

Our Platform integrates third-party tools and services, such as Google Maps for location services and payment providers for payment processing. Users of these services will be subject to their respective terms of use, and we are not responsible for their performance or policies
